Terms and Conditions

1. Introduction

These Terms and Conditions (“Terms”) govern your access to and use of the SimpliSell website at www.simplisell.in and its associated services, collectively referred to as the “Platform”, operated by MirrAR Innovation Technologies Private Limited, a company registered under the Companies Act, 2013, in India.

These Terms, along with our Privacy Policy, constitute the “User Agreement” under the Information Technology Act, 2000, and other applicable Indian laws.

By accessing or using the Platform, you agree to be bound by this User Agreement. If you do not agree with these Terms, you must not use the Platform.

2. User Eligibility

To use the Platform, you must be at least 18 years old or of legal age to enter into a binding contract under Indian law. If you are accessing the Platform on behalf of a business or other legal entity, you represent that you have the authority to bind the entity to these Terms.

3. Platform Role and Disclaimer

SimpliSell is a no-code website builder that enables sellers to create and manage their own e-commerce stores. We provide the technology infrastructure and tools, but we do not operate as a marketplace, reseller, or agent for the products or services sold on stores built using SimpliSell.

We are not involved in any transaction between the seller and their customers and do not take ownership of any goods or services offered.

4. Seller Payments and Business Model

All transactions between buyers and sellers occur directly on the seller’s store. Sellers integrate their own payment gateways (e.g., Razorpay, Paytm) and collect payments directly from customers.

SimpliSell:

  • Does not process or handle customer payments
  • Does not take commissions or transaction fees from sellers
  • Only charges sellers a fixed platform usage fee, based on their selected subscription plan

All matters related to order payments, refunds, cancellations, or customer disputes are the sole responsibility of the seller and must comply with applicable laws, including the Consumer Protection Act, 2019.

 

5. Account Registration and Security

Users must register an account to access and manage their store. You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activity under your account
  • Keeping your account information accurate and up to date

SimpliSell is not liable for any loss or damage arising from unauthorized account usage.

6. User Conduct and Responsibilities

By using the Platform, you agree:

  • To use it only for lawful purposes
  • Not to upload or sell illegal, counterfeit, or prohibited items
  • Not to infringe on any third-party rights including intellectual property
  • Not to misuse, disrupt, or attempt to hack the Platform


Violation of any of the above may result in suspension or termination of your account.

7. Intellectual Property

All content, software, design, and underlying technology of SimpliSell is the exclusive property of MirrAR Innovation Technologies Pvt. Ltd. and is protected by Indian copyright, trademark, and other applicable laws.

You may not copy, distribute, or modify any part of the Platform without our written permission.

8. Platform Fees and Taxes

Sellers agree to pay the subscription fee as per the selected plan. All fees:

  • Are quoted in INR
  • Are exclusive of applicable taxes (GST)
  • Are non-refundable unless explicitly stated

SimpliSell reserves the right to revise pricing and plans with reasonable notice.

9. Limitation of Liability

SimpliSell provides the Platform on an “as-is” and “as-available” basis. To the fullest extent permitted by law, we disclaim all warranties, and we are not liable for:

  • Any loss of revenue, profits, or data
  • Any direct or indirect damages arising from use of the Platform
  • Any disputes between buyers and sellers
10. Suspension and Termination

SimpliSell may suspend or terminate your access if:

  • You breach these Terms
  • Engage in fraudulent or illegal activity
  • Fail to pay subscription fees on time

In such cases, no refund will be issued unless required by law.

11. Modifications to Terms

We may update or revise these Terms at any time. Continued use of the Platform after changes indicates your acceptance of the revised Terms. The latest version will always be available at https://simplisell.in/terms.

12. Governing Law and Jurisdiction

This Agreement is governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts located in Chennai, Tamil Nadu.
